保險業併購下員工留用問題與政策研究
Abstract
自2008年全球金融風暴後,臺灣保險業陸續出現外資保險公司為保護母國資產,而透過被併購模式大舉撤離情形。在外資保險公司紛紛被本國保險公司以平行式合併方式併購下,所引發員工留用問題和對應的政策。本研究目的在探討保險業併購下員工留用問題與政策。採用半結構式訪談法,針對某一在金融風暴後之併購案個案進行研究,共訪談10名利害關係人。得到以下結論:(1)職位/職務重疊是導致併購前員工留用問題的主因;(2)併購前提供留任獎金,可增強員工留用傾向;(3)併購時員工工作權獲得保障,但職務可能被調整;(4)政策保護傘解除後,可能衍生組織精簡與員工汰換等問題;(5)併購後主要問題是跨文化的管理風格差異與企業文化衝突,而相關政策常無法在短期內獲得具體成效。
Since the global financial crisis happened in 2008, the foreign insurance companies in Taiwan have withdrawn from Taiwan Market by being merged to protect their headquarters’ assets. Thus, employee retention problems and policies of the insurance corporate merger raised. This study aimed to explore a case merger’s problems and policies. A semi-structured interview was conducted to interview with 10 stakeholders. Consequently, the following conclusions are drawn:(1) The overlap of position or job function is major results in the problem of employee retention before merger and acquisition; (2) To provideemployees retentionbonuseswith before mergerand acquisition,willenhance employees’retentionintentions;(3) The employee’s right to workis protected when merging and acquiring, but his/her job could be reassigned; (4) After the period of policies guarantee, employee down-sizing could follow; (5) The main problem of employee retention after mergerand acquisitionis cross-cultural differences in management style and corporate culture conflict which often cannot be resolved by related policies in a short term.
